This second major amendment of the Companies Act, of which the majority came into effect on March 1 this year, comes with various changes that may affect our business in many aspects. Changes include: 1) related to board directors—revision of regulations on director renumeration (policy on deciding director renumeration, revisions related to restricted stock, disclosure of information on renumeration, etc.), establishment of regulations on company indemnification and D&O Insurance, 2) related to shareholders’ meetings—measures to prevent abuses of shareholders’ rights to propose, streamlined system to provide shareholders’ meetings materials in electronic format, etc. 3) related to corporate governance—obligation for listed companies to appoint an outside director, 4) establishment of the Share Delivery system as a new method of M&A.

Graduated from the University of Tokyo Faculty of Law in 2000. Registered as a lawyer and joined Anderson Mori & Tomotsune in 2002. Graduated from the New York University School of Law in 2007 (LL.M.). Registered as New York State lawyer in 2008. Associated with Herbert Smith in Paris, France from 2007 to 2008. Member of the Human Research Ethics Review Committee of Graduate School of Pharmaceutical Sciences, Faculty of Pharmaceutical Sciences, The University of Tokyo from November 2014. Has been involved in various domestic and cross-border M&As, joint ventures, and startup investments and has a thorough knowledge on corporate governance and compliance issues. Advises not only from legal perspectives but from management and strategic perspectives, and engages in general corporate matters including healthcare, AI, and data-related transactions and regulations.
